2. INFORMATION ABOUT THE COMPANY

2.1 GENERAL INFORMATION-

ACTIVITIES OBJECT

T.E.S. S.A. was established in 1980

(Gazette 1088/25.4.1980 special issue for S.A.)

The Company's headquarters are

located in the municipality of Serres - 12,

Dion.Solomou str., occupying an area of 462

sq.m. which belongs to the main shareholders of

the company. There is also a branch office in

Thessalonica, at 170 Konstantinou Karamanli

Avenue, occupying a five - floors building

(1.200sq.m) privately owned.

The central repair shops of the proprietary

mechanical equipment are situated in Christos

(Serres district), occupying an area of 22.500 m2

privately owned by the Company, though there

are worksites in Skoutari - Serres (12.000m2),

Dimitra - Serres (12.500m2) and in Chrisoupoli

Kavala (7.000 m2) with their concrete production

installations. Moreover there are sites in

Alexandroupoli (6.000m2), in Kilkis (4.000m2) and

in Agria Volou (5.500m2) which serve the branch

office needs.

The duration of the Company, in

accordance with the article 4 of the

memorandum of association, is specified in 99

years.

The initial capital of the company

amounted to 19.200.000 drs. and divided into

19.200 registered shares of a nominal value 1.000

drs. each.

In accordance with the article 4

paragraph 2 of the Gazette 2704/9.11.1987, the

company's target includes: the undertaking and

execution of any kind of technical works of the

Greek State or the legal entities under public

law, organizations operating under whatever

kind of public or private law, organizations of

local government or public corporation either

directly as a contractor or a participator to any

kind of company or consortia charged to

execute such works, participating to any kind of

call for proposals or auctions for their assumption

in order to serve the goals of the company and

to collaborate with any legal entity or natural

person in one way or another.

Also one of the targets of the company is

the activation in the section of Real Estate,

which is:

A. The development and the utilization of the

landed property (land, buildings etc.) (PROPERTY

DEVELOPMENT).

From January 2004, the Company has

implemented and maintains a Quality

Management System of the standard ISO

9001:2008.

2.2 ACTIVITY OF THE COMPANY TILL

TODAY

During the decade 1980 – 1990, the

activity of the Company has developed in the

departments of Serres, Drama, Kavala and

Thessalonica.

After 1990, its activity has gradually

expanded across the country.

Today the Company covers all the activity

sectors of the significant Infrastructure Public

Works and the Private Finance Projects.

Especially during the period 1990 – 2014,

the Company has vigorously developed after

the construction of highways and bridges

(Thessaloniki – Kavala, Kavala – Serres, Serres -

Kilkis, Thessaloniki - N.Moudania, over crossing at

the railroad station of Strimona, Ring road of

Nigrita, Thessalonica – Promahonas (I.R. Greece

– Bulgaria e.t.c.),improvement projects at Pheres

(department of Evros), improvement projects at

Skoutari (department of Serres, Adelfiko Serron,

Irrigation Network Western Plain Nestos Kavala

e.t.c.) and railway works to the part from

Thessalonica to Alexandroupolis, Kalamata –

Andritsa – Megalopoli Peloponnesus and

industrial Area of Thessalonica, S.S.Doirani –

S.S.Kastanousa, maintaining existing railway lines,

in Hydraulic and sanitation works (replace

Hydraulic net of Serres e.t.c.). Particularly our

company constructs sewerage networks using

the method of vacuum networks (Scoutari &

Mitrousi in Serres. In the meanwhile, the

Company expanded its activity to the building

sector with the construction of a part of the

Kaftantzoglio stadium in Thessaloniki, the

Technical Institution of Sidirokastro, the Customs -

Chemistry House of Serres, the Medical Center

for Chronic Diseases in Nigrita (Serres district), the

Bank of Piraeus in Serres, a part of the National

Bank and likewise a construction of 40 blocks of

flats offices and shops in the private sector.

During the last two years, the Company

developed a close co-operation with big foreign

technical Companies participating at auctions

of great scale works in Greece: Natural Gas

Pipeline, Thessaloniki Subway, Wastewater

treatment installation of the municipality of

Serres, Egnatia Road, Railway Axis.

The company has always remained loyal to the

values of quality and organization in order to

achieve the best quality in its works and follows

the quality management system 9001:2008 in all

its activities. The successful application of this

system is certified by the official German

administrator of quality management D.Q.S. and

the international one I.Q.net.

A. REAL ESTATE

"T.E.S." S.A. is the owner of the following real

estate, the current value of which is estimated to

four million euro.

1) Offices on the 5th floor of a building situated in

Serres, 12, Dionisiou Solomou str., covering a

surface area of 427 sq.m. where the

Company is headquartered, valued at

675.000,00€.

2) A stadium of 16.312 sq.m. at Christos (Serres

district) with covered warehouses and repair

shops of 720 sq.m., valued at 150.000,00€.

3) A five-storey office building at 170,

Konstantinou Karamanli avenue in Thessalonica,

covering a surface area 1.200 sq.m., valued at

3.175.000,00€.

B. EQUIPMENT

"T.E.S." S.A. uses proprietary mechanical

equipment, always completing the undertaken

works.

The mechanical equipment, that the

Company possesses today, is described in the

following tables.

The total value of the equipment, included

in the tables, is more than 6.970.000,00€.

During the period 2002-2012, the Company

has been equipped with mechanical equipment

of 4.000.000€.

2.4 ENVIRONMENTAL MANAGEMENT OF POLLUTANTS

WASTE MANAGEMENT

T.E.S. SA has the no. 8045/09.25.2014

permission of the Department of

Environmental and Spatial Planning of the

Decentralized Administration of

Macedonia – Thrace for the management

(collection - transfer) non-hazardous waste.

The company, with environmental

awareness, implement complete

management of excavated material and

demolition in the works. Moreover recycles

the majority of the waste (lubricants, tires

etc.).

The Company is represented legally by the

President of the Board of Directors, Mr Christos

Besiris and the Vice-President of the Board of

Directors, Mr Naoum Passias, commonly or

separately.

The Company is managed by a hierarchy of

experienced executives, highly qualified and with

a strong bond among them, having a long service

in the company and vast experience in

construction and building works. The staff of the

company and the position of its members within

the company are as follows:

Christos Besiris

President of the Board of Directors, Civil Engineer,

with a vast experience in the administration of the

company and the supervision of works. Born at

Serres in 1944, he is one of the founders and main

shareholders of the company, holding his position

since 1980.

Naoum Passias

Vice-president of the Board of Directors and

Technical Manager, Civil Engineer with a 15 years-

old experience in the great scale works

administration and the international co-

operations of the Company. Born at Serres in 1948,

he is one of the founders and main shareholders of

the company, retaining his position since 1980.

Petros Tzintzis

Provisions Manager, responsible for the

maintenance of all the equipment and machinery

of the company, and for all the sites of works. He

was born at Domiros Serres in 1945 and holds this

position since 1980.

Nikolaos Gounis

Member of the Board of Directors, Civil Engineer

(assistant), Head of the department for the

preparation of tenders and contracts. He was

born at Serres in 1953 and holds his position since

1980.

Magdalini Dalgali

Member of the Board of Directors, Manager of

Building and Private Works. Architect Engineer with

a long experience in the projects of Building Works

and the construction of innovative buildings. She

was born at Serres in 1954, joined the company

staff in 1992 and assumed her current duties from

1922.

Civil Engineer. Manager of the Execution of Works

and Costing with 20-years experience in the

administration and construction of big scale

technical works (Highways, Hydraulic, Bridge

Building etc). He was born at Serres in 1959 and

holds this position since 1984.

Christos Konstantas

Mechanical Electrical Engineer. Associate and

collaborator of T.E.S. S.A. since 2000. With 15-years

experience in rail projects and networks with the

vacuum method. Responsible ISO 9001:2008

company.

Giorgos Gaitatzis

Member of the Board of Directors, Civil engineer.

With 10-years of experience in irrigation and water

projects. Belongs to the company’s staff since

2002.

Due to the size of the projects that the company

undertakes, in many cases it co-operates with other

similar enterprises. These consortia have an

autonomous character and their own financial and

accounting administration.

3. THE CONSTRUCTION SECTOR AND ITS TREND IN

GREECE

3.1 GENERALLY

The construction sector may be divided in two

distinguished sub-sectors:

I. DWELLINGS AND BUILDINGS

The majority of the construction companies are

dealing with this sub-sector, which represent 70% of

the total building activity.

There is an evident improvement in this sub-sector

since 1998, when the banks and the Public sector

decreased their mortgage interest rates.

II. TECHNICAL WORKS

The activities of this sector consist of Road

Construction Bridge Construction, Irrigation, Ports and

Electro-mechanical Works.

The Public Sector finances most of the above

Technical Works.

There are certain requirements that a company has to

fulfill in order to participate in a call for tenders and

execution of public works, related to the legal status

of the company, the share capital, the license class in

relation to the work budget or the construction

experience specifically needed for each work and

call for tenders.

3.2 LICENSES

The licenses are classified from A1 to a2. and from 1 to

7.The A1 and A2 classes concern the Partnerships.

Classes from 1 to 7 concern the companies with the

legal status of S.A. or L.T.D.

T.E.S. S.A. belongs to the 5th class license and in

conformity with the Greek Law, any company

provided with a 5th class license is eligible to

participate alone in a call for tenders of a public work

with a budged up to 22,00 million €. Above this limit,

all companies have to form consortia with Technical

Companies. Besides, now the Greek legislation in

compliance with European Community law gives the

right to participate in auctions with a larger budget.

The Technical Works Sector in Greece is very

encouraging. The prompt needs to update the Greek

economy in order to facilitate investments which are

clearly showing the role that the construction sector

has an important play in the coming years.

This modernization effort is financed mainly by the

European Union and the relative Projects.

4. FINANCIAL DATA ANALYSIS

4.1 TURNOVER RESULTS

The financial results of the company prove its

constant expansion in the recent years. The size

of the company has been multiplied in the

period 1990-2012, since the total capital was

366.837€, while in 2008 became 11.124.860€.

This modernization effort will be financed mainly

by the European Union and the relative Projects.

In 2014 is expected a assets increase by 30%.

5. RECASTS, OBJECTIVES AND PERSPECTIVES

The development of the construction

sector (especially the Public Works) is

estimated to have a constant affirmative

growth in the subsequent years and in the

future, because the necessity for

infrastructure is urging, given the difference

between Greece and the rest of the

European Union countries in this regard.

The Company is aiming to participate as

much as possible in the forthcoming Public

Works, based on its funds and its assets,

and thus will pursue its greaten possible

involvement in the construction of great –

scale works.

In the same time, it is expected that the

construction activities of the company will

rapidly expand in the neighboring Balkan

countries, where there are discussions to
