KICKER MINIMUM ADVERTISED PRICE POLICY

REASONS FOR THE POLICY:

The purpose of this Policy is to strengthen KICKER® products’ position within a highly competitive industry as a recognized premium supplier of high quality, high performance stereo components. In order to maintain this position, KICKER seeks to reinforce its relationship with current consumers and forge a connection with new consumers based upon the high quality and performance expectations of our products. Certain practices used in advertising and promoting KICKER products can be inconsistent with these goals. More specifically, we have determined that print and electronic media advertising of KICKER products at prices below KICKER’s minimum advertised

(1) The attached schedule sets forth the Minimum Advertised Prices to the KICKER products listed on the attachment. After January 1, 2005, if KICKER becomes aware to its satisfaction of any instance during the term of a dealer agreement in which a dealer directly or indirectly advertises the scheduled products at prices below the Minimum Advertised Prices shown for each, KICKER may take the following action: (i) For dealer’s first instance, KICKER may cancel all dealer’s orders for the non-compliant product model(s) and refuse to accept any new orders for said model(s) for 90 days thereafter. (ii) For dealer’s second instance, KICKER may cancel all dealer’s orders for the non-compliant product model group(s) and refuse to accept any new orders for said product model group(s) for 90 days thereafter. (iii) For dealer’s third instance,

price is not consistent with KICKER product expectations. Advertised prices below certain levels can actually harm consumers’ perception of KICKER products which, in turn, can be detrimental to our ability to compete against other premium component brands. As a result, dealers will shy away from investing the money, space and resources necessary to support KICKER products. In turn, consumers will also suffer either as a result of less product availability or from incorrectly concluding that KICKER products are of lower quality, less innovative, less creative or less exciting than our competitors’ products. For these reasons, we have unilaterally adopted the following Policy regarding all United States advertising of KICKER products.

KICKER may cancel all dealer’s orders of all products and indefinitely refuse to accept any new orders.

(2) “Advertising” or “advertise” as used in this Policy refers to print and electronic media such as newspapers, magazines, direct mail catalogs and flyers, radio, television, “on hold” telephone, Internet or any similar mass media. Minimum opening bids in all permitted auctions, including Internet auctions, must be at or above the Minimum Advertised Price. “Advertising” does not include in store advertising.

(3) Advertising is inconsistent with this Policy if it can reasonably be read to imply that the price of any KICKER product is below the minimum advertised price for that product as shown in the attached schedule. For example, advertising such as “15% off all products in our catalog,” “Buy one, get one for half price,” “Call for price,” “Click here for price,” “free goods,” “combo sales price”, and “free installation”, are inconsistent with this Policy when referring to KICKER products.

Under this Policy, therefore, if a dealer advertises a promotion providing for a discount from all products or any product class in which KICKER products are sold, KICKER products must be excluded, by specific reference, from the advertising copy.

(4) This Policy applies to both new products and established products. The Policy does not apply to B-Stock or discontinued products. B-Stock and discontinued products will not have a Minimum Advertised Price, but must be identified as “B-Stock,” “discontinued” or “factory remanufactured in any advertising medium as defined above.”

(5) This Policy does not affect the prices that dealers may charge for KICKER products. The Policy relates only to the prices at which a dealer may advertise KICKER products in print or electronic media. Dealers remain free to advertise and sell KICKER products at whatever prices they choose.

KICKER does not ask for, nor will it adopt, any assurance of compliance or agreement from a dealer regarding this policy.

Notwithstanding anything to the contrary which may be expressed or implied in or by one or more agreements between the dealer and KICKER (including any Dealer Agreement), nothing in these agreements shall constitute an agreement by the dealer to comply with this Policy.

(6) KICKER reserves the right to choose the dealers with whom it does business and to accept or reject any order in whole or in part at any time. (7) KICKER has adopted this Policy unilaterally. The Policy may not be construed as a contract or agreement with any dealer. KICKER reserves to itself the

right to modify this Policy or the attached schedule or to terminate this Policy at any time.

(8) This Policy is ‘non-negotiable’, that is, KICKER will not discuss any conditions or alterations to the Policy with any dealer. In addition, KICKER will neither solicit, nor accept, any assurances of compliance with this Policy - compliance is an individual business decision of each dealer.

The Policy will be enforced by KICKER and KICKER alone; KICKER will not solicit complaints about violations of this Policy. No KICKER employee or sales representative is authorized to discuss, modify, interpret or grant exceptions to this Policy with any dealer.

Any action of an employee or sales representative of KICKER purporting to obtain the agreement of any person to any or all of the terms of this Policy is unauthorized, invalid and against KICKER Policy.

(9) This Policy and its schedules are subject to change at any time by KICKER. Dealers will receive at least sixty (60) days notice of any changes.

(10) All questions about the Policy should be submitted in writing and directed to Jeff Peters, Domestic Autosound BUD, Stillwater Designs, P. O. Box 459, Stillwater, Oklahoma 74076. No other employee or sales representative of KICKER is authorized to discuss this Policy, and no oral communication about this Policy will be accepted by KICKER. Should any dealer learn of any modification or alteration of this Policy or an attempt to do so, dealer should immediately notify the KICKER contact specified above.


KICKER WARRANTY INFORMATION

Electronics Limited Warranty ELECTRONICS WARRANTY: KICKER warrants products to be free from defects in material and workmanship under normal use for a period of

TWO (2) YEARS from date of original purchase when purchased from an Authorized KICKER Dealer. The warranty includes a ONE YEAR OVER-THE-

COUNTER exchange policy. If the product is less than ONE YEAR old from the date of purchase, it will be exchanged for new product (proof of

purchase must be enclosed: this policy includes new product only – “B-Stock” product does not apply). If the product is B-Stock, it is warranted

for ONE (1) YEAR from date of original purchase. Should service be necessary under this warranty for any reason due to manufacturing defect or

malfunction during the warranty period, KICKER will replace or repair (at its discretion) the defective merchandise with equivalent merchandise at no

charge.

Speaker Systems Limited WarrantySPEAKER WARRANTY: KICKER warrants products to be free from defects in material and workmanship under normal use for a period of ONE

(1) YEAR from date of original purchase from an Authorized KICKER Dealer, unless the product is “B-Stock,” in which case it is warranted for NINETY

(90) DAYS from date of purchase. This excludes SoloX products. See SOLOX Limited warranty for specifics. Should service be necessary under this

warranty for any reason due to manufacturing defect or malfunction during the warranty period, KICKER will replace the defective merchandise with

equivalent merchandise at no charge. Discontinued products may be replaced with more current equivalent products.

SoloX WarrantySOLOX WARRANTY: KICKER warrants this product to be free from defects in material and workmanship under normal use for a period of ONE

(1) YEAR when purchased from an Authorized KICKER Dealer. WHAT IS NOT COVERED? BURNT VOICE COILS ARE NOT COVERED UNDER

WARRANTY. For a more detailed list of items not covered under warranty please see the warranty information in the product manual.

OVERGOODS: All discontinued items and current speakers are covered with a 120-day warranty from the date of the Authorized Dealer’s purchase.

All current electronics are covered with a 14-month warranty from the date of the Authorized Dealer’s purchase. Products will be repaired, credited or

replaced with similar product at KICKER’S discretion.

Various product categories may have differing warranties. Specific warranty information can be found in the product manual.

RETURNS: ALL RETURNS REQUIRE AN RMA NUMBER. This number can be obtained by calling KICKER Customer Service Representatives for

warranty returns, or through claims for all non-defective items. If you already have the appropriate information regarding a return, you can also fax us at

1-800-400-6002 to obtain an RMA Number. To verify warranty coverage and expedite the return process, please include a copy of the

dated proof of purchase. Please contact KICKER Representatives with questions.

Other Information And TermsSTANDARD TERMS: 5% 30 days, net 31 days with approved credit. Discount period is calculated from invoice date to postmark date of your

payment.

FREIGHT: Orders totaling $3,000 or more will receive 100% freight prepaid within the continental U.S. (excluding Alaska). Products from all KICKER/

SoundGate product schedules may be combined on a single order to obtain freight allowance if dealer is approved for those lines. To ensure proper

credit and additional adjustments as a result of mis-shipments, shortages, or damaged freight, contact Claims as soon as possible.
